Becoming a Client

Termination

We may terminate or suspend any client accounts immediately, without notice or liability, for any reason, including breaching the Terms. Your right to use the Service will cease upon termination. To terminate your account, simply stop using the Service.

Limitation of Liability

We, our directors, employees, partners, agents, suppliers, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages resulting from access to or use of the Service, conduct or content of third parties, content obtained from the Service, or unauthorized access or alteration of your transmissions or content.

No Endorsement or Recommendation

Providing tokenization services, smart contracts, or data storage is not intended as an endorsement of the security or a recommendation to purchase, sell or hold the security, or an opinion on the legal validity of the security. Human or mechanical errors may occur due to issuers, Token Genius, third-party sources, and others. Consequently, Token Genius does not guarantee the accuracy, adequacy, or completeness of any data provided through its services. Token Genius won’t be liable or responsible for errors or omissions or results obtained from the use of any data.

Investment Decisions

References to a particular investment or security, credit rating, or any observation concerning an investment or security provided on a site aren’t recommendations to buy, sell, or hold the investment or security or make any other investment decisions. They don’t address the suitability of any investment or security. Damages and Liability Limits

Notwithstanding anything to the contrary in these Terms of Use, in no event shall Token Genius or its suppliers be liable for any direct, indirect, special, incidental, punitive, or consequential damages. This includes but isn’t limited to loss of profits, trading losses, lost time or goodwill, even if they have been advised of the possibility of such damages, whether in contract, tort, strict liability, or otherwise. Neither Token Genius nor its suppliers shall be liable for any claims against you by third parties.

Maximum Cumulative Liability

In the event that liability is nevertheless imposed on Token Genius or its suppliers, the maximum cumulative liability of Token Genius and its suppliers in connection with a site, any content, and/or these Terms of Use, regardless of the form(s) of action, whether in contract, tort, strict liability or otherwise, shall not exceed one hundred dollars (US$100). Time Limit for Legal Actions: No action, regardless of form, arising from or pertaining to your use of a site or the content may be brought by you more than one (1) year after such action has accrued.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind. We cannot guarantee that the Service will operate without interruptions, securely, or free of errors; that we will correct any errors or defects; that it will not contain viruses or harmful components; or that your use of the Service will fulfill your requirements.

Governing Law

The laws of the State of Florida, United States, govern these Terms. If we don’t enforce any right or provision of these Terms, it doesn’t mean we waive those rights. In case a court declares any provision of these Terms invalid or unenforceable, the other provisions will still remain effective. These Terms represent our complete agreement concerning the Service, replacing any previous agreements.

We may modify or replace the Token Genius Terms & Conditions at our discretion. We will notify you of any changes by posting the new Terms & Conditions on this page. You are advised to review these Terms & Conditions periodically for any changes. Changes to the Terms & Conditions are effective when they are posted on this page.
